Terms of Service

These terms explain the conditions that apply when you visit the Sync Simplified website, submit an inquiry, book a discovery call, or otherwise interact with us online.

Plain-language summary

These are website terms. Booking a discovery call or submitting a form does not create a paid client relationship. Any paid project will be governed by a separate written proposal, service agreement, order form, or statement of work.

These Terms of Service (“Terms”) govern your access to and use of the Sync Simplified website, forms, appointment pages, content, and related online communications.

Sync Simplified is operated by Richard Jason B. Uy from the Philippines. In these Terms, “Sync Simplified,” “we,” “us,” and “our” refer to the operator of the website and services. “You” and “your” refer to a visitor, prospective client, client representative, or other person using the website.

Our Privacy Policy explains how we handle personal information and forms part of the information available to you when using this website.

About These Terms

These Terms apply to your use of syncsimplified.com and any website pages, forms, calendars, or resources made available through that domain.

They are intended to govern use of the website and pre-engagement interactions. They are not a complete project contract and do not replace any proposal, service agreement, order form, statement of work, data-processing agreement, or other written agreement entered into for paid services.

Acceptance and Eligibility

By accessing or using the website, you acknowledge that you have read and understood these Terms and agree to comply with them. If you do not agree, please discontinue use of the website.

You must be at least 18 years old and legally capable of entering into binding agreements to request or purchase services from Sync Simplified. If you act for a business or organization, you represent that you have authority to communicate and act on its behalf.

The website provides general information about Sync Simplified and services that may include website design, CRM setup, lead-capture forms, funnels, appointment-booking systems, workflow automation, email and SMS follow-up systems, implementation support, and related consulting.

We make reasonable efforts to keep website content accurate and current, but descriptions, examples, features, availability, pricing references, and technical information may change and may not always be complete or error-free.

Website content is provided for general business information. It is not legal, tax, accounting, financial, cybersecurity, or regulatory advice.

Discovery Calls and Inquiries

Submitting a form, sending a message, or booking a discovery call:

  • Does not create a client-service-provider relationship
  • Does not require either party to purchase or provide services
  • Does not guarantee that Sync Simplified will accept a project
  • Does not reserve a project start date unless separately confirmed in writing
  • Does not guarantee a particular recommendation, quotation, timeline, or outcome

We may decline an inquiry or project when it is outside our scope, capacity, risk tolerance, technical capabilities, or business requirements.

Paid Services and Separate Agreements

A paid engagement begins only when the applicable written agreement has been accepted and any required initial payment, deposit, or onboarding requirement has been completed.

A separate agreement may address:

  • Project scope, deliverables, and exclusions
  • Fees, payment schedule, taxes, and third-party costs
  • Timelines, dependencies, revisions, and approvals
  • Client responsibilities and access requirements
  • Confidentiality and data handling
  • Intellectual-property ownership and licenses
  • Support, maintenance, cancellation, refunds, and termination
  • Liability, dispute resolution, and other project-specific terms

If a separate written agreement conflicts with these website Terms, the separate agreement controls for that paid engagement.

User Responsibilities and Prohibited Use

  • Use the website only for lawful and legitimate purposes

Clients remain responsible for ensuring that their business activities, websites, forms, contact lists, advertising, email, SMS, telephone communications, appointment systems, privacy notices, consent language, and automated workflows comply with applicable laws, platform policies, industry rules, and contractual obligations.

Client responsibilities may include:

  • Obtaining appropriate consent and maintaining lawful contact lists
  • Providing accurate disclosures, claims, policies, and business information
  • Honoring unsubscribe, objection, deletion, and other lawful requests
  • Approving content, offers, workflows, and messages before launch
  • Maintaining required registrations, licenses, accounts, and verifications
  • Seeking independent professional advice when needed
The availability of a technical feature does not mean every possible use of that feature is lawful or appropriate.

Third-Party Platforms and Services

The website and our services may rely on third-party platforms, including HighLevel, website hosts, domain providers, calendar systems, email and SMS providers, telephone carriers, payment processors, video-conferencing tools, analytics services, cloud storage, and software integrations.

Third-party providers may:

  • Charge separate fees
  • Change pricing, features, limits, policies, or technical requirements
  • Require separate contracts, licenses, consent, identity checks, or regulatory verification
  • Experience outages, delays, delivery failures, restrictions, or security incidents
  • Suspend, reject, or terminate accounts, campaigns, numbers, integrations, or services

We do not control third-party providers and are not responsible for their independent acts, omissions, availability, security, pricing, policies, approval decisions, or service interruptions.

Clients are responsible for maintaining required third-party subscriptions, accounts, permissions, billing methods, and verifications unless a separate agreement states otherwise.

No Guarantee of Business Results

Websites, CRM systems, automations, forms, and follow-up workflows can support business operations, but results depend on many factors outside our control.

Unless expressly guaranteed in a signed agreement, we do not guarantee:

  • A specific number of leads, appointments, customers, sales, revenue, or profit
  • A particular conversion rate, response rate, attendance rate, or return on investment
  • Search-engine rankings, advertising performance, or platform approval
  • Email inbox placement, SMS delivery, telephone connectivity, or message receipt
  • Continuous availability, error-free operation, or compatibility with every system
  • Regulatory, carrier, marketplace, or third-party approval

Portfolio examples, demonstrations, estimates, projections, and past outcomes are illustrative and do not guarantee similar results.

Intellectual Property

Unless otherwise stated, the website and its original branding, text, graphics, layouts, workflow examples, page structure, design elements, and other materials are owned by or licensed to Sync Simplified and are protected by applicable intellectual-property laws.

You may view the website for personal or internal business evaluation. Without prior written permission, you may not reproduce, republish, sell, distribute, license, modify, reverse engineer, or commercially exploit website content.

Ownership and permitted use of paid client deliverables will be determined by the applicable service agreement. Third-party software, templates, fonts, media, trademarks, and other materials remain subject to their respective licenses and owners’ rights.

Portfolio, Demonstrations, and Examples

Portfolio images, mockups, demonstrations, sample workflows, and project examples are provided to illustrate the type of work Sync Simplified can perform.

Unless expressly stated:

  • An example may be a demonstration, concept, sample build, or client project
  • Features, interfaces, platform capabilities, and results may change
  • Examples do not create a promise that identical features or results will be provided
  • You may not copy, extract, or reuse portfolio materials without authorization

Client work will be displayed only in accordance with applicable permissions, confidentiality commitments, and project agreements.

Communications

By submitting an inquiry or booking an appointment, you authorize us to contact you using the information you provide for purposes connected with your request.

These communications may include appointment confirmations, reminders, requested follow-up, proposal updates, onboarding information, project messages, account notices, and support communications.

Marketing and promotional communications are handled separately and may be subject to consent and opt-out requirements. Our handling of personal information is described in our Privacy Policy.

Website Availability and Changes

We may maintain, update, correct, redesign, restrict, suspend, or discontinue any part of the website at any time.

Limitation of Liability

To the maximum extent permitted by applicable law, Sync Simplified will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising solely from use of, inability to use, or reliance on the public website.

Examples may include:

  • Lost profits, revenue, business opportunities, goodwill, or anticipated savings
  • Loss, corruption, or unauthorized disclosure of data caused by events outside our reasonable control
  • Third-party platform outages, account restrictions, delivery failures, or policy changes
  • Decisions made in reliance on general website information

Liability relating to paid services will be governed by the applicable service agreement.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, or other non-excludable obligations under applicable law.

Suspension and Termination

We may restrict, suspend, or terminate access to the website or decline further communications when we reasonably believe that a user has:

  • Violated these Terms or applicable law
  • Attempted to compromise the website, systems, accounts, or security
  • Engaged in fraud, harassment, abuse, infringement, or unlawful conduct
  • Created a material legal, security, operational, or reputational risk

Provisions that should reasonably survive termination, including intellectual-property, disclaimer, liability, governing-law, and general provisions, will continue to apply.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Before starting formal proceedings concerning use of the website, the parties should make a reasonable good-faith effort to resolve the matter through written communication.

Subject to any mandatory rights or jurisdiction that applicable law does not permit the parties to exclude, disputes relating solely to use of the website will be submitted to the appropriate courts of the Philippines.

A separate client agreement may specify different negotiation, mediation, arbitration, governing-law, venue, or dispute-resolution provisions for a paid engagement.

Changes to These Terms

We may update these Terms to reflect changes to our website, services, technologies, business practices, or legal obligations.

Updated Terms will be posted on this page with a revised effective date. Your continued use of the website after an update indicates acceptance of the revised Terms to the extent permitted by applicable law.

Changes to an existing paid engagement will be handled under the applicable service agreement rather than solely by changing these website Terms.

General Provisions

Severability

If any provision of these Terms is found invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

No waiver

A failure or delay in enforcing a provision does not waive the right to enforce it later.

Headings

Headings are included for convenience and do not change the meaning of these Terms.

Entire website agreement

These Terms and the Privacy Policy represent the general understanding relating to use of the public website, but they do not replace a separate agreement for paid services.
